BYLAWS OF THE
TAZEWELL COUNTY RETIRED TEACHERS
ASSOCIATION
Organized December 6, 1960
Revised and Adopted July 14, 1986, March 10, 2003,
and December 8, 2014
Article 1 - Name
The name of this organization shall be the Tazewell County Retired Teachers Association.
Article 2 - Purpose
The purpose of this association shall be to promote the interest of retired teachers.
Article 3 - Affiliation
The Tazewell County Retired Teachers Association is the Tazewell County Unit 33 of Region 10, Area 4 and shall be affiliated with the Illinois Retired Teachers Association.
Article 4 - Membership
Section 1. Active
Any retired teacher, administrator, librarian, or nurse of public or private schools or colleges shall be eligible for membership.
Section 2. Associate
Associate membership shall be open to any person interested in the work of this association and upon approval for membership by the Executive Board and/or the Membership Chairman. An Associate member shall have membership rights and privileges, except the right to vote, hold office, or to represent the Association.
Article 5 - Officers
The officers of the Association shall be President, First Vice President, Second Vice President, Secretary, Treasurer, Assistant Treasurer, and Immediate Past President.
Article 6 - Board of Directors
Section 1. Membership
The Board of Directors shall include the officers and the chairmen of standing committees.
Section 2. Meetings
The Board of Directors shall hold meetings at the call of the President or upon the written request of two or more members of the Board of Directors.
Article 7 - Executive Committee
Section 1. Membership
The Executive Committee of the Board of Directors shall be composed of the officers.
Section 2. Duties
A. The Executive Committee shall have emergency power to act for the Board of Directors between meetings of the Board.
B. The Executive Committee may designate a contingency fund.
Section 3. Meetings
Meetings of the Executive Committee shall be called at the request of the President. The incoming or continuing President may call a meeting of the Executive Committee prior to December for the purpose of approving appointments and making plans for the coming year.
Article 8 - Committees
Section 1. Standing Committees
The Standing Committees are: Community Participation, Public Relations, Legislative, Membership, Foundation Services, and Sunshine.
Section 2. Program Chairman
The Second Vice President shall be the Program Chairman.
Section 3. Calling Committee Chairman
The Assistant Treasurer shall be the calling Committee Chairman.
Article 9 - Meetings
There shall be one meeting each month of the year except January and February.
Article 10 - Elections and Terms of Office
Section 1. Nominations and Election
A. The nominating Committee shall present a slate of candidates for the offices to be filled at the September meeting.
B. The election of officers shall be conducted at the October
meeting.
C. Nominations may be made from the floor provided prior
consent of the person has been obtained.
D. The incoming officers shall be installed at the December meeting.
E. A majority of votes cast shall be necessary for election. In
cases where there is but one nominee for the office, a voice vote can be taken.
Section 2. Terms of Office
A. All officers shall take office January 1.
All vacancies in office shall be filled for the unexpired term by the President with the approval of the Executive Committee.
Article 11 – Powers
The Association shall have the powers specified in the Statutes of Illinois pertaining to bodies organized for purposes other than pecuniary profits.
Article 12 - Memorial Policy
The Association shall contribute a memorial of $20.00 to I.R.T.A. Foundation Services following the death of a member. Should the deceased be a local member only, the $20.00 memorial will be given to the charity of the family’s choice.
Article 13 – Quorum
Section 1. Membership
Twenty percent of the membership of the Association shall constitute a quorum for a meeting of the Association to conduct business or elections.
Section 2. Board of Directors
A majority of the Board of Directors shall constitute a quorum at the Board of Directors meetings.
Section 3. Executive Committee
A majority of the Executive Committee shall constitute a quorum at the Executive Committee meetings.
Article 14 - Finance
Section 1. Fiscal Year
The fiscal and administrative year shall begin the first day of January.
Section 2. Dues
The annual dues shall be determined by the Board of Directors subject to the approval of the membership.
Section 3. Audit
The Association shall provide for such audit and control of its finances as are necessary for their complete accounting and safekeeping.
Article 15 - Rules of Order
Section 1. Parliamentary Authority
Robert’s Rules of Order, Revised, shall be the authority on all rules of procedure not otherwise provided for in the bylaws.
Section 2. Parliamentarian
The Parliamentarian shall be appointed by the President to serve during the tenure of that President.
Article 16 - Amendments
Section 1. Proposed Amendment
A proposed amendment may be submitted in writing by any member to the Board of Directors, who will consider it by discussion and vote.
Section 2. Vote
A majority vote of the Board of Directors shall be required to bring the proposed amendment to the attention of the Association.
Section 3. Ratification
The proposed change shall become an amendment upon ratification by a majority of the members present, said amendment having been presented to the membership at a previous meeting.
